Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Poroflo website at www.poroflo.co (the "Site") and the design, development, and consulting services provided by Poroflo ("we", "us", "our"). By using the Site or engaging us for services, you ("Client", "you") agree to these Terms.

1. Services

Poroflo provides website design, Webflow development, MVP development, performance marketing, CRM implementation, marketing automation, and related services. The specific deliverables, timeline, and fees for each engagement are defined in a written proposal or statement of work that, once accepted, forms part of these Terms.

2. Engagement & Payment

Engagements typically begin with a discovery call followed by a written proposal. Fees, milestones, and payment schedules are set out in the applicable proposal. Unless stated otherwise, invoices are due within 14 days of issue. Late payments may incur a reasonable late fee and may pause active work until the balance is settled.

3. Client Responsibilities

To deliver effectively, we rely on you to provide timely access to brand assets, content, accounts, and stakeholders required for the engagement. Delays caused by missing inputs may shift the timeline. You are responsible for ensuring that any content you provide does not infringe third-party rights.

4. Intellectual Property

On full payment for an engagement, you own the final deliverables produced specifically for you (designs, copy, code, configurations). We retain ownership of pre-existing tools, frameworks, and reusable components used to deliver the work, and we grant you a perpetual licence to use them as part of the deliverables. We may showcase the work publicly as part of our portfolio unless agreed otherwise in writing.

5. Confidentiality

Each party agrees to keep confidential any non-public information shared during the engagement and to use it only for the purposes of delivering or receiving the services. Confidentiality obligations survive termination of the engagement.

6. Warranties & Disclaimers

We will provide the services with reasonable skill and care. The Site and any free materials are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability

To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the services or these Terms is limited to the fees paid by you for the engagement giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or revenue.

8. Termination

Either party may terminate an engagement on written notice if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period. On termination, you will pay for all services rendered up to the termination date.

9. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of the Site or services after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of India, and any disputes will be resolved in the courts of India, unless otherwise agreed in writing in the engagement proposal.
